1. Agreement to Terms
By accessing or using Headr ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.
2. Service Description
Headr is a marketplace connecting content creators (Influencers) with brands and advertisers (Clients) for sponsored content placements including:
- Twitter/X header banner advertisements
- Bio link placements
- Pinned post sponsorships
3. User Accounts
3.1 Registration: You must authenticate via Twitter/X OAuth to use the Platform.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials.
3.3 Accurate Information: You agree to provide accurate and complete information when creating listings or placing orders.
4. Offer and Payment Terms
4.1 Offer Flow:
- Client submits an offer to Influencer
- Influencer reviews and accepts/rejects/negotiates the offer
- Upon acceptance, Client must complete payment within a reasonable timeframe
- Payment is held in escrow until campaign completion
- Funds are released to Influencer upon successful campaign delivery
4.2 Cancellations: Either party may cancel before payment. After payment, cancellations are subject to our Refund Policy.
4.3 Negotiation Limits: Each party has up to 3 counter-offers per negotiation. Negotiations expire after 6 hours of inactivity.
5. Creator Responsibilities
- Maintain accurate pricing and availability information
- Honor accepted offers and deliver campaigns as agreed
- Display sponsored content for the agreed duration
- Notify clients immediately of any issues or delays
- Comply with FTC disclosure guidelines for sponsored content
6. Client Responsibilities
- Provide accurate campaign materials and requirements
- Complete payment promptly after offer acceptance
- Ensure all content complies with platform policies and applicable laws
- Respect creator's right to reject offers that conflict with their brand
7. Prohibited Content
The following content is strictly prohibited:
- Illegal products or services
- Adult content or services
- Hate speech, discrimination, or harassment
- Misleading or fraudulent claims
- Malware, phishing, or security threats
- Violation of intellectual property rights
8. Platform Fees
Headr charges a service fee on completed transactions. Fee structure will be clearly displayed before payment confirmation. Fees are non-refundable except in cases of platform error.
9. Dispute Resolution
9.1 Good Faith: Parties agree to resolve disputes in good faith.
9.2 Platform Mediation: Headr may mediate disputes at its discretion.
9.3 Arbitration: Unresolved disputes will be settled through binding arbitration.
10. Limitation of Liability
Headr is a marketplace platform. We are not responsible for the quality, legality, or delivery of services between users. Our liability is limited to the amount of fees paid for the specific transaction in question.
11. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm the Platform or its users.
12. Changes to Terms
We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms. Material changes will be communicated via email or platform notification.
